Service.

These Terms establish baseline rules for using Under Ellum’s website and content-production or publishing-assistance services. A separate written proposal or agreement may define the specific scope of a client engagement.

1. Acceptance and authority

By using this website, connecting an account when that option becomes available, or accepting an Under Ellum proposal or service, you agree to these Terms. If you act for a business, client, Page, channel, or other organization, you represent that you have authority to act for it and authorize the requested work.

If a signed agreement or accepted proposal conflicts with these Terms, the more specific written agreement controls for that engagement.

2. The service

Under Ellum provides creative content-production and related assistance. Depending on the agreed scope, work may include interviews, planning, filming, editing, captions, packaging, content review, delivery, scheduling assistance, or publication assistance.

Client-portal, direct social-account connection, and automated publishing features are planned and may be offered only when available, appropriately authorized, and included in the applicable engagement. These Terms do not promise that any particular integration or publishing feature is currently available.

Project scope, deliverables, timing, fees, payment, cancellation, and any refund terms must be stated in a separate proposal or agreement. These Terms do not create a price, refund policy, or service level that Under Ellum has not separately confirmed.

3. Client materials and authorization

You retain whatever rights you already hold in materials you supply. You grant Under Ellum permission to receive, copy, edit, process, display, transmit, and otherwise use those materials as reasonably necessary to perform the requested service.

You represent that you own the supplied materials or have all permissions needed for the requested use. This includes videos, photographs, logos, trademarks, scripts, testimonials, music, recordings, property information, professional claims, and material depicting or supplied by other people.

Ownership or license terms for finished deliverables, project files, stock assets, templates, music, and third-party materials are governed by the applicable proposal, agreement, or third-party license. These Terms do not make a broader ownership transfer than a separate written agreement provides.

4. Exact-version approval

Under Ellum requires approval of the exact content version intended for publication. Approval applies only to the reviewed media and associated caption, material settings, destination, and other metadata presented for approval. A material change creates a new version that requires new approval.

Where scheduling or publication assistance is available, Under Ellum will not intentionally publish a client item without the required approval from an authorized approver. You are responsible for identifying who may approve on behalf of your organization and for reviewing the complete version carefully before approval.

5. Client responsibilities

You remain responsible for the substance and lawfulness of your content and business claims. Before approval or publication, you must verify:

  • names, dates, prices, property facts, statistics, claims, offers, disclosures, and other factual information;
  • professional, advertising, licensing, brokerage, healthcare, industry, and regulatory requirements that apply to you;
  • permissions, releases, copyright, trademark, privacy, publicity, music, and recording rights;
  • required disclaimers, accessibility needs, promotion rules, and platform-specific requirements; and
  • the intended account, Page, channel, audience, caption, settings, and publication time.

Under Ellum may flag an apparent issue, but creative or automated review does not replace review by you, your broker, compliance officer, attorney, licensing authority, or other responsible professional.

6. Social platforms and connected accounts

If account connections are introduced, you must use the platform’s official authorization process and grant only the permissions you intend. Do not provide Under Ellum with passwords, recovery codes, or authentication codes.

Social platforms are independent services governed by their own terms, policies, technical rules, review processes, and enforcement decisions. Under Ellum does not control and does not guarantee platform availability, posting eligibility, processing time, reach, impressions, engagement, followers, leads, account standing, continued API access, or the continued availability of any feature.

A platform may delay, reject, limit, remove, mute, alter, or otherwise act on content or an account. Authorization may expire or be revoked. Under Ellum may stop a delivery when the intended destination cannot be verified, approval is missing, or the platform does not accept the request.

7. Acceptable use

You may not use Under Ellum to create, connect, schedule, transmit, or publish material that is unlawful, fraudulent, deceptive, infringing, malicious, harassing, exploitative, or unauthorized. You may not attempt to bypass platform controls, impersonate another person, obtain unauthorized access, distribute malware, manipulate engagement, conceal prohibited advertising, or interfere with the service or another client.

You must not direct Under Ellum to use an account, Page, channel, identity, media file, or other asset that you are not authorized to control.

8. Refusal, suspension, and disconnection

Under Ellum may refuse, pause, or stop work or connected-account activity when reasonably necessary to address missing approval, suspected unauthorized access, security risk, unlawful or prohibited material, noncompliance with platform requirements, payment or scope issues governed by a separate agreement, or conduct that may harm a client, Under Ellum, a platform, or another person.

You may revoke platform access through the platform and may request disconnection or deletion as described in the Connected Account and Data Deletion Instructions.

9. Disclaimers and limits

Except for commitments expressly stated in an accepted written agreement, the website and service are provided on an “as available” basis. To the extent permitted by applicable law, Under Ellum disclaims implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Under Ellum does not promise business results, platform performance, audience response, legal or regulatory compliance, uninterrupted service, or error-free third-party integrations. To the extent permitted by applicable law, Under Ellum will not be responsible for indirect, incidental, special, consequential, or punitive damages arising from platform actions, client-supplied material, unauthorized instructions, lost reach, lost opportunity, or unavailable third-party services.

Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply. Any engagement-specific allocation of responsibility should be addressed in the applicable written agreement.

10. Changes to these Terms

Under Ellum may update these Terms as the service develops or platform requirements change. The effective and last-updated dates identify the current version. Material changes will apply prospectively unless applicable law or a separate agreement requires otherwise.
